Sika — Terms of Service

Business management software for Ghanaian shop owners.

These Terms of Service ("Terms") govern your use of Sika, a business management application ("the Service") operated by AvantGarde Technologies, based in Ghana. By creating an account or using Sika, you agree to these Terms. If you don't agree, please don't use the Service.

1. The Service

Sika is a point-of-sale, stock, debtor, and business-management tool for small shops. It works offline and syncs data when a connection is available. Features and pricing tiers may be added, changed, or removed over time as the Service evolves.

2. Accounts

You must provide accurate information when registering (shop name, owner name, phone number).
You're responsible for keeping your phone number secure, since it's used to sign in via SMS one-time codes. If you set an offline PIN, you're responsible for keeping it secret.
The shop owner is responsible for the actions of any staff accounts they create under their shop, including what those staff members enter, edit, or delete.
You must be authorized to run the business you register, and the information you enter about customers/debtors must be information you're authorized to collect and store.

3. Subscriptions & payment

New shops get a free trial period. After the trial, continued use requires an active paid subscription.
Subscription payments are made either by Mobile Money (MoMo), confirmed manually against your unique payment reference code, or by card via our payment processor (Paystack).
Prices for each plan tier are shown in the app at the time of purchase or renewal and may change with notice.
All payments are final. Once a subscription period is activated, no refunds are given for that period, including if you stop using the Service before it ends.
If your subscription lapses, your access is suspended until you renew. Your data is retained during this time (see the Privacy Policy) — a lapse does not delete your records.

4. Acceptable use

You agree not to:

Use Sika for any unlawful purpose, or to store or process data you're not authorized to hold
Attempt to bypass subscription/paywall controls, rate limits, or other access restrictions
Interfere with or disrupt the Service, its servers, or other users' access to it
Attempt to gain unauthorized access to any account, data, or system connected to Sika
Reverse-engineer, resell, or white-label the Service without our written permission

We may suspend or terminate accounts that violate these Terms.

5. Your data

You own the business data you enter into Sika (products, sales, customer records, etc.). We process it on your behalf to provide the Service, as described in our Privacy Policy. You're responsible for the accuracy of the data you enter, including customer/debtor records.

6. Service availability

We aim to keep Sika available and reliable, and the app is designed to keep working offline when your connection drops. However, we don't guarantee uninterrupted or error-free operation, and we're not liable for losses caused by downtime, maintenance, or factors outside our control (including SMS gateway or payment processor outages).

7. Termination

You may stop using Sika at any time. We may suspend or terminate your account if you violate these Terms, if required by law, or if your subscription lapses and remains unpaid. We'll try to give notice where reasonably possible, except in cases of suspected abuse or legal violation.

8. Disclaimers & limitation of liability

Sika is provided "as is," without warranties of any kind, express or implied. To the maximum extent permitted by Ghanaian law, AvantGarde Technologies is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost sales, lost data, or business interruption. Our total liability for any claim relating to the Service is limited to the amount you paid for your subscription in the three months before the claim arose.

Nothing in these Terms limits liability where it cannot lawfully be limited (for example, liability for fraud).

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above. Continued use of Sika after a change means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of Ghana. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Ghana.
